This Submission Rights Agreement ("Agreement") is entered into between you ("Submitter") and BuyingClips.Com ("BuyingClips", "we", "us") upon submission of any video content through this platform. By clicking I Agree, you acknowledge that you have read, understood, and consent to be legally bound by the terms below.

1. Age Requirement

You confirm that you are at least 18 years of age. Submissions from individuals under 18 are strictly prohibited and will be immediately discarded. BuyingClips reserves the right to request proof of age at any time.

2. Ownership & Authority

You represent and warrant that: (a) you are the sole, original creator and 100% legal owner of all submitted content; (b) the content does not infringe upon any third-party intellectual property, privacy, publicity, or any other rights; (c) no other person or entity holds any claim, lien, license, or encumbrance over the content; and (d) you have full legal authority to enter into this Agreement and transfer all rights herein.

3. Review Access

By submitting, you grant BuyingClips a limited, temporary, non-commercial license to access, stream, and evaluate your content solely for the purpose of determining whether to make a purchase offer. This review license does not constitute a transfer of ownership and expires automatically if no offer is made, upon offer expiration, or upon your written rejection of any offer.

4. Exclusive Rights Transfer Upon Purchase

Upon your acceptance of a purchase offer and receipt of payment, you irrevocably assign and transfer to BuyingClips 100% of all rights, title, and interest in and to the purchased content, worldwide, in perpetuity, including without limitation all copyrights, neighboring rights, moral rights (to the extent waivable by law), and any other intellectual property rights in any medium now known or hereafter devised. This transfer is exclusive - you permanently relinquish all rights to use, license, reproduce, distribute, or otherwise exploit the purchased content in any form.

5. Termination of Submitter's Rights

Upon completed purchase, your rights to the sold content are fully and permanently terminated. You may not retain, publish, sublicense, or use the sold content for any purpose, commercial or otherwise, without the express prior written consent of BuyingClips.

6. Privacy & Confidentiality

BuyingClips will not publish, share, or distribute your submitted content during the review period. If no offer is made within 3 days of submission, all copies of your content and associated access links are permanently deleted from our systems. Content under an active offer is retained until the offer is resolved: if you decline an offer, all copies are permanently deleted immediately; if you do not respond within 7 days, the offer expires and all copies are permanently deleted.

7. Representations & Indemnification

You agree to indemnify, defend, and hold harmless BuyingClips.Com, its owners, officers, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any breach of your representations or warranties under this Agreement; (b) any third-party claim that the submitted content infringes upon their rights; or (c) your violation of any applicable law or regulation.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Florida, and you hereby consent to the personal jurisdiction of such courts.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and BuyingClips with respect to the submission and purchase of content, and supersedes all prior negotiations, representations, or agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
